Terms of Service

1. Agreement to terms

By creating an account or using Stagewise, you agree to be bound by these Terms of Service ("Terms"). Stagewise is operated by Hive Co LLC, a California limited liability company ("Stagewise," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Stagewise, you represent that you meet these requirements. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account.
  • Notify us promptly at hello@stagewise.events if you suspect unauthorized access to your account.
  • Not share your password or transfer your account to another person without our written consent.

We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to keep your credentials secure.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law or regulation.
  • Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or infringes the intellectual property rights of any third party.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems.
  • Use the Service to send unsolicited communications (spam) to attendees or other contacts.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated means (bots, scrapers) to access the Service in a manner that exceeds normal usage.
  • Resell, sublicense, or otherwise commercialize access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these provisions.

5. Your content

You retain full ownership of all event data, documents, and content you upload or create within the Service ("Your Content"). By using the Service, you grant Hive Co LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service to you.

We do not claim ownership of Your Content. We will not use Your Content for any purpose beyond operating the Service, and we do not sell Your Content or use it to train third-party AI or machine learning models.

You are solely responsible for Your Content and represent that you have all rights necessary to grant us this license. You agree to indemnify and hold us harmless from any claims arising out of Your Content.

6. Billing and payments

Paid plans:

Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as selected). Subscriptions renew automatically at the end of each billing period unless cancelled.

Free trials:

Free trials provide access to the Service for a limited period at no charge. Your trial will not automatically convert to a paid plan — you must actively select and purchase a plan to continue using the Service after your trial expires.

Cancellation:

You may cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period; you will retain access to the Service through that date. We do not provide prorated refunds for unused portions of a billing period, except in cases of billing errors or as required by applicable law.

Refunds:

We handle refund requests case-by-case for documented billing errors. To request a refund, contact hello@stagewise.events within 30 days of the charge.

Price changes:

We may change our pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Payment processing:

Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store full payment card numbers.

7. AI features and AI-generated content

7.1 How we use AI

Stagewise uses artificial intelligence to power certain features within the platform, including but not limited to:

  • Marketing brief and promotional copy generation
  • Budget review and financial suggestions
  • Venue discovery recommendations
  • Speaker brief drafting
  • Run-of-show and event planning suggestions
  • Brand voice alignment and content ideation

These features are powered by third-party AI providers, including Anthropic (Claude). By using AI-powered features, you acknowledge that your inputs may be processed by these providers in accordance with their respective terms and privacy policies. We do not use your private event content to train third-party AI or machine learning models.

7.2 Nature of AI output

AI-generated content within Stagewise ("AI Output") is provided for productivity and informational purposes only. You acknowledge and agree that:

  • AI Output does not constitute legal, financial, accounting, or professional advice of any kind.
  • AI Output may contain errors, inaccuracies, hallucinations, or omissions. The nature of AI means outputs can appear confident while being factually incorrect.
  • You are solely responsible for reviewing, editing, and verifying any AI Output before using it, publishing it, sharing it with third parties, or relying on it to make decisions.
  • We strongly recommend human review of all AI Output, particularly contracts, budgets, financial projections, speaker communications, and any content sent to attendees, sponsors, or press.

7.3 Human review

Not all AI-assisted content generated within Stagewise undergoes human review by our team before it is delivered to you. AI Output is generated in real time in response to your inputs. We make reasonable efforts to design prompts and guardrails that improve output quality, but we cannot guarantee that all AI Output will be accurate, complete, or appropriate for your specific use case. You assume all responsibility for how you use AI Output.

7.4 No warranty on AI output

We make no warranty, express or implied, that AI Output is accurate, complete, reliable, current, or fit for any particular purpose. All AI Output is provided "as is." Your use of AI-powered features and reliance on AI Output is entirely at your own risk.

7.5 Evolving technology

AI technology is rapidly evolving. We may update, change, or discontinue AI-powered features at any time. The specific AI providers and models we use may also change over time. We will update this section as material changes occur.

8. Third-party services and integrations

The Service may integrate with or link to third-party services (including Stripe, social media platforms, and others). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices, availability, or content of any third-party service. Enabling an integration is at your own risk.

9. Intellectual property

The Service, including its design, software, features, and content (excluding Your Content), is owned by Hive Co LLC and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein. "Stagewise" and associated logos and marks are proprietary to Hive Co LLC.

10. Service availability

We will use commercially reasonable efforts to make the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. We are not liable for any downtime, data loss, or disruption caused by circumstances outside our reasonable control.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HIVE CO LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE SECURE, UNINTERRUPTED, OR FREE OF ERRORS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HIVE CO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Hive Co LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Termination

By you:

You may delete your account at any time from your account Settings. Deletion terminates your subscription at the end of the current billing period.

By us:

We may suspend or terminate your access to the Service immediately, with or without notice, for violation of these Terms, non-payment, or conduct we reasonably determine to be harmful to the Service or other users. We will attempt to provide advance notice where practicable.

Upon termination, your right to use the Service ceases. Sections 5, 7, 11, 12, 13, and 15 of these Terms survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

Informal resolution: Before filing any formal claim, you agree to contact us at hello@stagewise.events and attempt to resolve the dispute informally for at least 30 days.

16. General

Entire agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hive Co LLC regarding the Service and supersede all prior agreements.

Severability:

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

No waiver:

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment:

You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
